These Terms and Conditions ("Terms") govern your access to and use of the web design, SMS lead flow, digital marketing platform, and related services (collectively, the "Services") provided by Nioh LLC (referred to as "we," "us," or "our"). By accessing or using the Services, signing up for an account, or purchasing any subscription, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

Services Description

We provide custom web design, SMS lead generation and messaging services, CRM tools, automations, remarketing, customer review tools, and optional management of advertising (e.g., Google Local Service Ads). The Services may include a fully built website, platform access (web and mobile app), business phone number for texting and calling, and related features.

Subscription Plans and Billing

We offer subscription plans, including but not limited to:

Basic Plan (e.g., $97/month): Includes a fully built website, platform access, and limited automations and review tools.

Advanced Plan (e.g., $297/month): Includes a professional website with quick customization management, platform access, business phone number, CRM, full automation access such as, remarketing, review tools, critical review quarantine, sms based-quotes and call back text automation.

Subscriptions are month-to-month or prepaid (e.g., 3-month commitment, which may include complimentary optimizations).

All fees are billed in advance via credit/debit card through our secure payment processor, Stripe. Subscriptions auto-renew until canceled.

Usage-Based Charges

Additional charges apply for:

Phone Numbers: Local (~$1.15/month), Toll-Free (~$2.15/month)

SMS/MMS: Varying rates per segment/message (inbound/outbound)

Voice Calls: Varying rates per minute

Other services (e.g., number intelligence)

Clients maintain a wallet balance for these charges, with automatic top-ups.

No Refund Policy

All payments are final and non-refundable. Services are custom-built and initiated immediately upon signup.

Chargebacks

You agree not to initiate chargebacks for services rendered. Violations may result in account suspension and pursuit of recovery costs.

Cancellation

You may cancel anytime; cancellation takes effect at the end of the current billing cycle. No refunds for unused portions.

Payment Failures and Suspension

Failed payments trigger retries. Accounts may be suspended if unpaid, with access restored upon payment.

SMS Messaging Terms

By opting in to SMS services (e.g., via website form, keyword, or other consent), you agree to receive recurring messages including notifications, marketing offers, reminders, alerts, account authentication (2FA), and service communications. Message frequency varies.

Message and data rates may apply per your carrier.

Opt-Out: Reply STOP (or similar) to any message to unsubscribe. Reply HELP for assistance.

We do not guarantee delivery; issues may occur due to network or device factors.

You agree to use the Services lawfully and not send offensive, illegal, or harassing content.

Consent must be explicit (e.g., web form with checkbox, keyword reply).

User Obligations

You are responsible for content you upload/share. You must comply with all laws, including TCPA, CTIA, and privacy regulations.

Intellectual Property

We retain rights to platform features; you own your custom website/content upon full payment.

Changes to Terms

We may update these Terms; continued use constitutes acceptance. Material changes will be notified via email or platform notice.

Privacy Policy

Integrated into these Terms and Conditions is our Privacy Policy, which explains how we collect, use, and protect your information.

Information We Collect

Personal Contact Information: Name, company, address, phone, email when inquiring or registering.

Billing Information: Processed via Stripe (we do not store card details).

Data: Content you upload (e.g., descriptions, logos, photos, emails).

Diagnostic & Login Information: For troubleshooting and streamlining.

Analytics Information: Via cookies, beacons, Google Analytics (IP, browser, actions). Third parties like Google may use cookies for ads; opt out via Ads Settings or www.aboutads.info.

Geo-Location: Not currently collected without permission.

How We Use Information

To provide, improve, and administer Services.

For marketing (with consent where required).

Analytics and technical administration.

Internal business purposes.

We do not sell personal information.

Sharing and Disclosure

With trusted service providers (e.g., Stripe, analytics) under strict obligations.

For legal compliance, fraud prevention, or business transfers (e.g., merger).
